1. Agreement to Terms

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "Client", "User"), and Wondrhost ("we", "us", or "our"), concerning your access to and use of the Wondrhost website, client portal (WHMCS), and any related services, including but not limited to Web Hosting, VPS, Dedicated Servers, Server Licenses, and Setup Services (collectively, the "Services").

By registering an account, purchasing a service, or utilizing our network, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

This Agreement incorporates by reference our Acceptable Use Policy (AUP), Privacy Policy, and Refund Policy. Violation of any of these incorporated policies constitutes a material breach of these Terms.

2. Account Setup and Verification

2.1 Accurate Information

You agree to provide true, accurate, current, and complete information during the registration process and to update such information to keep it accurate. Providing false contact information of any kind may result in the immediate termination of your account.

2.2 Fraud Prevention and KYC

To maintain the integrity of our network, Wondrhost employs automated fraud screening. We reserve the right to manually review any order. We may require you to provide government-issued identification and/or a scan of the credit card used for the purchase (with sensitive digits obscured) before provisioning high-risk services such as Dedicated Servers or VPS. Failure to comply with verification requests will result in order cancellation.

2.3 Account Security

You are entirely responsible for maintaining the confidentiality of your account login credentials (WHMCS, cPanel, WHM, root passwords). You agree to notify Wondrhost immediately of any unauthorized use of your account. Wondrhost will not be liable for any loss or damage arising from your failure to protect your login information.

3. Payment, Billing, and Renewals

3.1 Payment Terms

You agree to pay all charges associated with the Services you purchase, including any applicable taxes, at the prices in effect when such charges are incurred. Wondrhost accepts various payment methods including Credit/Debit Cards, UPI, Net Banking, PayPal, Razorpay, Cashfree, and select Cryptocurrencies.

3.2 Automatic Renewals

Unless you explicitly cancel your service prior to the end of your current billing cycle, your Services will automatically renew for the same duration. Invoices for renewals are generated and sent to your registered email address prior to the due date. It is your responsibility to ensure that your payment method on file is valid and sufficiently funded.

3.3 Late Payments and Suspension

All invoices must be paid by their due date. Wondrhost provides a grace period of three (3) days for shared hosting and licenses, and zero (0) days for Dedicated Servers. If payment is not received:

• Suspension: Services will be automatically suspended. Websites will go offline, and server access will be revoked.
• Termination: If an invoice remains unpaid for fourteen (14) days past the due date (or less for Dedicated Servers), the Service will be permanently terminated, and all associated data will be irrevocably deleted from our servers.
• Late Fees: Wondrhost reserves the right to apply a late fee to overdue invoices prior to restoring service.

4. Service Level Agreement (SLA) and Uptime

Wondrhost strives to maintain a 99.9% network and server uptime. This SLA covers the availability of our network and the physical hardware of the host node.

• Exclusions: The SLA does not apply to downtime caused by: scheduled maintenance (which will be announced in advance), client-induced errors (e.g., crashing your own VPS, faulty scripts), DDoS attacks exceeding our mitigation capacity, third-party software failures (e.g., cPanel bugs), or force majeure events (natural disasters, widespread internet outages).
• Compensation: If we fail to meet the 99.9% uptime guarantee in a given month, you may request a pro-rated credit to your Wondrhost account for the duration of the downtime. Credits must be requested via a support ticket within 7 days of the downtime event and cannot exceed the monthly cost of the service.

5. Backups and Data Loss

Your use of Wondrhost Services is at your sole risk. While Wondrhost performs automated daily/weekly backups on specific Shared, Reseller, and WordPress hosting plans (e.g., via JetBackup), these backups are provided as a courtesy and are not guaranteed.

Wondrhost is not responsible for files and/or data residing on your account. You agree to take full responsibility for files and data transferred and to maintain all appropriate independent, off-site backups of your data. Wondrhost will not be liable for any data loss, corruption, or hardware failure, regardless of the cause.

6. Resource Usage and Acceptable Use

You agree to use the Services strictly in accordance with our Acceptable Use Policy (AUP). Wondrhost strictly prohibits the hosting of illegal content, spamming, phishing, malware distribution, and cryptocurrency mining.

Wondrhost utilizes CloudLinux LVE to manage resources on shared environments. Accounts that consistently exceed their allocated CPU, RAM, Disk I/O, or Inode limits will be throttled or suspended to protect the stability of the server for other clients. Wondrhost reserves the right to require you to upgrade to a higher plan, VPS, or Dedicated Server if your resource usage is deemed excessive.

7. Software Licenses and Third-Party Services

Wondrhost provides access to third-party software licenses (e.g., cPanel, LiteSpeed, CloudLinux, WHMCS). By utilizing these licenses, you agree to be bound by the respective End User License Agreements (EULAs) of those third-party vendors.

Wondrhost offers both official and shared (budget-friendly) licenses. You acknowledge that shared licenses utilize script-based authentication. Attempting to bypass, reverse engineer, or abuse these licensing systems will result in immediate termination of the license and your Wondrhost account without refund.

8. Reseller Responsibilities

If you purchase a Reseller, Master Reseller, or Alpha Reseller plan, you are acting as an independent entity. You are solely responsible for providing technical support, billing, and customer service to your own sub-clients.

Wondrhost does not provide direct support to your end-users. Furthermore, you are responsible for ensuring that your sub-clients comply with Wondrhost's AUP and Terms of Service. If a sub-client violates our policies, Wondrhost reserves the right to suspend the specific sub-account or, in cases of severe or repeated abuse, the entire Reseller account.

9. Limitation of Liability

IN NO EVENT SHALL WONDRHOST, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WONDRHOST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, WONDRHOST'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO WONDRHOST FOR THE SERVICES DURING THE ONE (1) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

10. Indemnification

You agree to defend, indemnify, and hold harmless Wondrhost, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of this Agreement or the AUP; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your hosted content caused damage to a third party.

11. Modifications to the Agreement

Wondrhost reserves the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Services after the date such revised Terms are posted.

12. Governing Law and Jurisdiction

These Terms shall be governed by and defined following the laws of India. Wondrhost and yourself irrevocably consent that the courts of India shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
